Michelle Frost, as of counsel for Diamond Law Corp, has been advising companies from inception to dissolution, in a variety of different business structures, and across a broad range or industries, including biotech and life sciences, apparel, lending and cannabis. Michelle advises clients on structuring, forming and establishing their business, including putting into place operating, employment, and consulting agreements. In addition, she counsels clients on various fundraising mechanisms, whether through pre-seed friends and family, angel investor, or funding rounds. Michelle has also been representing venture capital funds and advising them on day to day business, including with respect to structure and compliance.
Prior to joining Diamond Law Corp, Michelle spent nine years at Emmet, Marvin & Martin LLP in the Corporate & Securities practice. While at Emmet, Michelle focused on corporate and securities transactions for foreign issuers interested in accessing the US markets, whether publicly or privately.
Michelle received her J.D. from New York Law School and served as the Chief Articles Editor for the New York Law School Journal of Human Rights, and was awarded the American Jurisprudence Award for Legal Writing & Research.
