Associate Corporate and Securities Attorney

Location: San Diego, CA.  Diamond Law, PC represents clients across the country in corporate and securities, intellectual property, commercial contracts, tax law, secured transactions and restructuring.

Job Responsibilities:
Collaborate closely with senior attorneys to assist private companies with a wide range of business transactions, ensuring legal compliance and strategic structuring; Advise clients on securities laws compliance, including and private placements and associated filings. Represent clients in various securities-related matters, ensuring adherence to applicable laws and regulations; Draft, review, and negotiate a wide range of legal agreements.

Responsibilities include preparing and analyzing documentation for equity financings, convertible notes, Simple Agreements for Future Equity (SAFE), secured transactions, and other funding structures; Support clients throughout the M&A process, including due diligence and drafting agreements; Provide guidance on corporate governance best practices; Draft and review operating agreements and other business entity documents Draft and negotiate employment agreements for employees residing in California or New York or for companies that are located in California or New York, independent contractor, and consulting agreements, ensuring compliance with California and New York labor laws and corporate policies;

Assist with the formation of investment funds; Maintain corporate minute books, track stockholder and board resolutions, and oversee capitalization tables to ensure accurate corporate record-keeping; Draft and implement employee stock option plans, restricted stock agreements, and other incentive compensation programs in compliance with securities regulations.

Minimum Education/Experience Req:
Juris Doctor (JD) plus 1 years of experience working as a Corporate and Securities Lawyer OR Master of Laws (LLM) plus 2 years of experience working as a Corporate and Securities Lawyer; candidate must also have at least 1 year of experience handling corporate governance, entity formation, and transactional matters under Delaware corporate, LLC, and LP laws in a legal setting; At least 6 months of direct experience working with Delaware corporations, limited liability companies, and limited partnerships, including familiarity with Delaware General Corporation Law (DGCL), Delaware Limited Liability Company Act, and Delaware Revised Uniform Limited Partnership Act, as well as their California and New York corollaries; Proficiency with LexisNexis and/or Westlaw, demonstrated by at least 1 year of regular use for legal research, case law analysis, and statutory interpretation.
